Terms of Use

1.1 Introduction and Acceptance

These Terms of Use ("Terms") govern access to and use of the commercial real estate research platform (the "Platform") operated by Deep Dive CRE, LLC ("Deep Dive CRE," "we," "us," or "our"). The Platform is made available through deepdivecre.com and through a family of affiliated brand websites, each of which is a trade name or "doing business as" identity of Deep Dive CRE, LLC and not a separate legal entity (each, a "Brand Site"). References in these Terms to "the Platform" include every Brand Site. By creating an account, submitting a form, or otherwise using any Brand Site, you agree to be bound by these Terms.

1.2 Relationship Between Deep Dive CRE and Brand Sites

Each Brand Site presents the same underlying Platform and shared database under its own name, visual design, and point of contact. Regardless of which Brand Site you use, your agreement is with Deep Dive CRE, LLC. Information you submit through a Brand Site may be routed to and handled by the specific brokerage, agent, or team associated with that Brand Site, as described in the Privacy Policy.

1.3 Permitted Use

The Platform is provided to support research into commercial real estate, discovery of opportunities, and engagement with the brokerage and advisory services offered through Deep Dive CRE and its Brand Sites. You may use information presented on the Platform to support your own business, investment, and real estate decision-making.

1.4 Prohibited Use

You agree not to:

• Attempt unauthorized access to any part of the Platform
• Interfere with the operation of the Platform
• Transmit malicious software or code
• Misuse property or personal information obtained through the Platform
• Harvest, scrape, or collect user information without authorization
• Attempt to circumvent access controls or account permission settings
• Engage in systematic scraping, bulk extraction, or resale of Platform content
• Reverse engineer, decompile, or attempt to extract the source code of the Platform

1.5 Ownership of Platform Content

The Platform, its design, software, and compiled content are the property of Deep Dive CRE, LLC. Property data presented on the Platform is derived from public records and third-party sources and remains subject to the Data Disclaimer. Brand names, logos, and marks used on individual Brand Sites are the property of Deep Dive CRE, LLC or its licensors.

1.6 Accounts

To access certain features, you may need to register for an account. You are responsible for maintaining the confidentiality of your account credentials, for all activity under your account, and for providing accurate information. You must notify us promptly if you believe your account has been accessed without authorization.

1.7 No Brokerage or Agency Relationship Created by Use of the Platform

Use of any Brand Site, viewing property information, creating an account, requesting information, submitting a contact or requirement form, or requesting a consultation does not by itself create a brokerage, agency, advisory, fiduciary, or representation relationship between you and Deep Dive CRE, LLC, any Brand Site, or any individual agent. Such relationships are established only through the written agreements required under applicable state real estate law. See the Agency Relationships disclosure published on the specific Brand Site you are using for details applicable to that agent and state.

1.8 Disclaimer of Warranties

The Platform and its content are provided "as is" and "as available," without warranties of any kind, express or implied. Information may contain errors, omissions, or outdated content and should be independently verified — see the Data Disclaimer.

1.9 Limitation of Liability

To the fullest extent permitted by law, Deep Dive CRE, LLC will not be liable for decisions made in reliance on information presented through the Platform, nor for indirect, incidental, special, or consequential damages arising from use of the Platform. Where liability cannot be fully excluded, our total liability to you is limited to the amount, if any, you have paid us for the Platform in the twelve (12) months preceding the claim.

1.10 Indemnification

You agree to indemnify, defend, and hold harmless Deep Dive CRE, LLC and its officers, members, employees, agents, and affiliated Brand Sites from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with (a) your use of the Platform, (b) your violation of these Terms, or (c) your violation of any applicable law in connection with your use of the Platform.

1.11 Our Rights

We may, at our discretion: update Platform content; modify or discontinue features; update these Terms or related policies; suspend or terminate accounts; and restrict access to the Platform or any Brand Site, at any time and for any reason, with or without notice, and without liability to you.

1.12 Changes to These Terms

We may amend these Terms from time to time. The effective date of the current version appears at the top of this document. Material changes will be posted on the Platform and, where practical, notified to registered users. Continued use of any Brand Site after changes take effect constitutes acceptance of the revised Terms.

1.13 Dispute Resolution

Before filing any claim, you agree to first contact us at legal@DeepDiveCre.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved informally within that time, either party may pursue any right or remedy available under applicable law, subject to the governing law and venue provisions in Section 1.14. Either party may also seek injunctive or other equitable relief in court at any time to prevent unauthorized use, infringement, or misappropriation of intellectual property or confidential information.

1.14 Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any action arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the jurisdiction of those courts.

1.15 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice to you.

1.16 Entire Agreement; Severability

These Terms, together with the Data Disclaimer, Privacy Policy, and any Brand-Specific Supplement applicable to the Brand Site you used, constitute the entire agreement between you and Deep Dive CRE, LLC regarding your use of the Platform. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
